About Republic

Republic is a global investment and launchpad platform combining retail crowdfunding (Reg CF / Reg A+) with a token & node Launchpad and web3 advisory. Republic also issued the Republic Note—a profit-sharing digital security that went live for secondary trading on INX.One on Dec 6, 2023 and migrated to Avalanche. The group expanded in Europe via the acquisition of Seedrs.

Quick Facts

  • Brand: Republic • Founded: 2016 (founders include Kendrick Nguyen). • HQ: New York; global operations (US/EU/UK/UAE/Asia).

  • Divisions: Republic.com (crowdfunding marketplace), Republic Launchpad (token/node sales), Republic Advisory (token design, go-to-market).

  • Flagship asset: Republic Note—dividend-paying digital security backed by a share of profits from a broad venture/crypto portfolio; listed on INX.One (Avalanche).

  • Europe: Republic announced the acquisition of Seedrs to build a transatlantic marketplace.

How It Works (at a glance)

  • Crowdfunding: Issuers can raise under Reg CF (US$5M/12 months) or Reg A+ (up to US$75M/12 months) via Republic’s regulated entities/affiliates. Retail investors can participate subject to SEC limits

  • Launchpad (tokens & nodes): Republic runs compliant token sales and node/network sales (example: Mawari DIO, July 2025) through its broker-dealer/funding-portal affiliates. Terms (eligibility, lockups, geography) are set per-sale.

  • Advisory: Republic’s web3 practice helps teams design token economies and go to market.

KYC, Accreditation & Eligibility

  • KYC/AML is required on Republic properties. Depending on the exemption and the specific offering, investors may need to be accredited (e.g., many US broker-dealer–led token/node sales) or may be open to non-accredited investors (e.g., Reg CF or Reg A+). Check the sale page.

  • Investor limits (Reg CF/Reg A+): SEC rules cap Reg CF issuers at US$5M per 12 months and impose personal investment limits for non-accredited investors; Reg A+ allows up to US$75M per 12 months, with non-accredited investors generally limited to 10% of income or net worth per offering.

  • Entities: Funding-portal activity is conducted by OpenDeal Portal LLC (Republic) (SEC/FINRA-registered funding portal); broker-dealer activity by OpenDeal Broker LLC (FINRA/SIPC member).

Sale Types, Chains & Payments

  • Sale formats: Equity/notes (Reg CF/Reg A+/Reg D) and digital assets (security tokens/utility tokens, where permitted) and node/network allocations. Per-offering docs specify vesting, transferability, and lockups.

  • Chains: Recent digital-asset activity includes Avalanche (Republic Note). Projects may choose different L1s/L2s.

  • Payments: Vary by sale—examples include USDC/USDT/DAI (token sales) and fiat/wire/ACH for equity raises; always check the offering page.
